Mojovida reorganizes its capital with the entry of InnovaFonds and Caisse d'Épargne IDF Capital Investissement

Mojovida, a Paris-region integrator and managed-service provider of payment terminals for retail and food service, announces the reorganization of its capital, marked by the minority entry of two new financial investors: InnovaFonds and Caisse d’Épargne IDF Capital Investissement.

This transaction gives the company, which generates €20M in revenue, new resources to accelerate its development and ease its access to new markets, while reinforcing its executives’ shareholding.

Mojovida: integration and managed services for payment terminals

Founded in 2009 and based in the Essonne, Mojovida is an integrator and managed-service provider of payment terminals dedicated to retail and food service. The company claims 70 clients, mainly large accounts, spread across three sectors: mass distribution, specialized retail networks and food service.

In 2023, Mojovida generated €20M in revenue, with an EBITDA margin of 18.7% the previous year. After the support of CM-CIC Capital Finance, as a minority investor from 2015 to 2021, the company had since been 100% owned by its managers, following a share buyout carried out on a sponsorless basis.

A capital reorganization to support growth

Under the terms of the transaction, InnovaFonds acts through its Partenaire Managers I vehicle, alongside Caisse d’Épargne IDF Capital Investissement, which entered pari passu into the same instruments — a majority mezzanine tranche (OBSA) complemented by an equity portion.

Following the reorganization, chairman Nicholas Vincent increases his stake to more than 50% of the capital, ahead of his managing director Thierry Moreel and a tight circle of managers. Acquisition debt, with leverage below three times EBITDA, was also put in place to finance future external-growth transactions.
